Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the website at techtradesolutions.com (the “Site”) and the services offered by TechTrade Solutions (“TechTrade,” “we,” “us,” or “our”), a Houston, Texas-based provider of IT asset disposition (ITAD), secure data destruction, hardware brokerage, and related logistics services for data center hardware.
By accessing the Site, submitting an inquiry, or engaging our services, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, please do not use the Site or our services.
These Terms may be supplemented by separate transaction documents, such as sales agreements, purchase orders, or condition reports. To the extent those documents conflict with these Terms for a specific transaction, the transaction documents govern.
Definitions
- “Assets” — servers, central processing units (CPUs), memory (RAM), solid-state drives (SSDs), hard disk drives (HDDs), graphics processing units (GPUs), network equipment, and other data center and IT hardware.
- “Services” — ITAD, secure data destruction, hardware brokerage, decommissioning, logistics, asset recovery, and related services described on the Site.
- “Site” — the TechTrade Solutions website located at techtradesolutions.com.
- “Brokerage” — services in which TechTrade Solutions arranges or facilitates the sale or purchase of Assets between you and third-party buyers or sellers.
- “You” or “Customer” — any individual or organization accessing the Site or engaging our Services.
Use of the Website
You agree to use the Site only for lawful business purposes and in a manner consistent with these Terms. You may not:
- reverse engineer, scrape, or otherwise attempt to obtain unauthorized access to the Site, its systems, or data;
- use the Site to transmit malware, unsolicited communications, or fraudulent inquiries;
- misrepresent your identity, your ownership of Assets, or your authorization to transfer them; or
- interfere with or disrupt the Site, its servers, or networks.
We may restrict or suspend access to the Site at any time for any lawful reason.
Services, Quotes & Estimates
Quotes, recovery estimates, and valuations provided by TechTrade Solutions — whether online, by phone, or by email — are estimates only. They are based on the information you provide and prevailing market conditions at the time. Final pricing depends on physical inspection, condition verification, configuration, market demand, and other factors.
Because the secondary market for data center hardware is volatile, pricing is subject to change without notice until a binding written agreement or purchase order is executed. A quote does not create an obligation for either party unless and until both parties sign a transaction document.
Scheduling, Logistics & Decommissioning
For decommissioning projects, TechTrade Solutions will work with you to schedule pickup or remote logistics. Our standard scheduling window is generally two to five business days, depending on location, volume, and access requirements.
You are responsible for:
- providing accurate asset counts, model numbers, and location details;
- ensuring lawful access to facilities and equipment;
- preparing Assets for pickup as agreed, including removal of any locks and clear marking of equipment to be removed; and
- obtaining any required internal approvals or security clearances in advance.
Risk of loss or damage to Assets transfers at the time and place agreed in the applicable logistics or sales documentation. TechTrade Solutions will use commercially reasonable care in handling and transporting Assets.
Data Security & Destruction
Secure data destruction is a core element of our Services. Storage media is processed using methods including data wiping to National Institute of Standards and Technology (NIST SP 800-88) guidelines, degaussing, and physical destruction, as applicable to the device and the agreed service.
Upon completion, TechTrade Solutions issues certificates and documentation of data destruction for eligible services, including the method used, asset identifiers, and date of processing.
You warrant that any data stored on Assets is data you are authorized to have processed and destroyed. To the extent allowed by law, TechTrade Solutions is not responsible for any data discovered on Assets that you did not disclose or reasonably prepare for handling.
Title & Ownership
You represent and warrant that:
- you own the Assets you provide to TechTrade Solutions, or are lawfully authorized to sell or transfer them;
- the Assets are free and clear of all liens, claims, and encumbrances; and
- the Assets do not infringe the rights of any third party.
If you are purchasing Assets through our Brokerage services, title passes to you at the time and place specified in the applicable purchase order or agreement. TechTrade Solutions is not responsible for software licenses associated with Assets unless expressly agreed in writing.
Brokerage Services
When acting in a brokerage capacity, TechTrade Solutions facilitates transactions between buyers and sellers and does not guarantee that any Asset will be sold or purchased, that any minimum price will be achieved, or that any transaction will be completed.
Assets marketed through our brokerage are generally offered “as-is, where-is” unless a condition report or warranty is expressly agreed in writing. Buyers are encouraged to review all condition reports, photos, and specifications before purchase.
TechTrade Solutions may serve the buyer side, seller side, or both across separate transactions. We operate with a duty of fair dealing in each transaction as required by law.
Payments & Fees
Payment terms, amounts, and methods for Services are set out in the applicable invoice, quote, or agreement. Unless otherwise stated, all amounts are in U.S. Dollars (USD).
You are responsible for:
- paying all undisputed amounts by the due date specified;
- any bank, currency conversion, or intermediary fees for international payments; and
- all applicable taxes, duties, customs, and similar charges, except taxes on TechTrade’s net income.
Invoices are due as stated on the invoice. Late payments may be subject to interest charges as permitted by law.
Warranties & Disclaimers
To the fullest extent permitted by applicable law:
- THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- RECOVERY ESTIMATES, VALUATIONS, AND MARKET DATA ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND ARE NOT GUARANTEES OF FUTURE VALUE OR SALE.
- SPECIFIC ASSETS SOLD THROUGH OUR BROKERAGE ARE SOLD “AS-IS, WHERE-IS” UNLESS A WRITTEN CONDITION REPORT OR WARRANTY ACCOMPANIES THE SALE.
Some jurisdictions do not allow the exclusion of certain implied warranties, so the above exclusions may not apply to you.
Limitation of Liability
To the fullest extent permitted by law, neither TechTrade Solutions nor its officers, directors, employees, or agents will be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Site, the Services, or these Terms, even if advised of the possibility of such damages.
Except for liabilities that cannot be limited by law, TechTrade’s aggregate liability arising out of or relating to these Terms or the Services will not exceed the total fees actually paid by you to TechTrade Solutions for the specific Service giving rise to the claim in the twelve (12) months preceding the claim.
This limitation of liability applies to all causes of action, whether in contract, tort (including negligence), strict liability, or otherwise.
Indemnification
You agree to indemnify, defend, and hold harmless TechTrade Solutions, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Site or Services;
- your breach of these Terms;
- any Assets you provide, including claims relating to ownership, data, or infringement; or
- any negligent or wrongful act or omission by you.
Confidentiality
During the course of providing Services, we may exchange non-public business and technical information (“Confidential Information”). Each party agrees to use the other’s Confidential Information solely for the purpose of the Services and to protect it with the same degree of care used to protect its own confidential information, but in no event less than reasonable care.
Confidential Information does not include information that is publicly available, independently developed, or lawfully received from a third party without restriction.
Intellectual Property
The Site and its content, including text, graphics, logos, software, and design, are the property of TechTrade Solutions or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from the Site or its content without our prior written consent.
Product names, logos, and trademarks of third parties referenced on the Site are the property of their respective owners and are used for identification purposes only.
Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection, use, and processing of information as described in our Privacy Policy.
Governing Law & Jurisdiction
These Terms, and any disputes arising out of or relating to them or to the Services, will be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law principles.
For any dispute not subject to binding arbitration under Section 17, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas (Houston), and you waive any objection to venue or forum in those courts.
Dispute Resolution
Parties will attempt in good faith to resolve any dispute arising under these Terms through negotiation. If the dispute is not resolved within thirty (30) days of written notice, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration seated in Houston, Texas. The arbitrator’s decision will be final and binding and may be entered in any court of competent jurisdiction.
You agree that any claim must be brought in your individual capacity; class actions and consolidated proceedings are waived to the fullest extent permitted by law.
International Services & Export Compliance
TechTrade Solutions provides Services to customers in the United States and, where commercially feasible, worldwide. Where Services involve cross-border movement of Assets, both parties will comply with applicable import, export, and customs laws, including the U.S. Export Administration Regulations (EAR) and trade sanctions administered by the U.S. Department of the Treasury (OFAC).
You represent and warrant that neither you nor any party in the transaction is located in, organized under the laws of, or owned or controlled by persons in, a country subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. restricted-party list.
You are responsible for complying with all local laws applicable to the Assets and for any applicable duties, taxes, or customs fees.
Term & Termination
These Terms apply as long as you use the Site or engage our Services. TechTrade Solutions may suspend or terminate access to the Site or any Services at any time, with or without cause and with or without notice.
Provisions of these Terms that by their nature should survive termination — including warranties, indemnification, limitation of liability, confidentiality, governing law, and dispute resolution — will survive any termination.
Force Majeure
Neither party will be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from a cause beyond that party’s reasonable control, including natural disasters, public health emergencies, war or armed conflict, terrorism, labor shortages or disputes, power or network failures, and government orders.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business, or legal requirements. The “Last Updated” date at the top of this page indicates when the Terms were last revised.
Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms. If we make material changes, we will update the date above and, where practical, provide notice on the Site.
Severability & Waiver
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.
A failure to exercise or enforce any right under these Terms will not be deemed a waiver of that right, and no waiver will be effective unless made in writing.
Entire Agreement
These Terms, together with the Privacy Policy, any transaction documents, and any policies referenced on the Site, constitute the entire agreement between you and TechTrade Solutions regarding the subject matter hereof and supersede all prior agreements and understandings, whether written or oral.
